RingHouse Reseller Terms of Service

1. Agreement and acceptance

These Reseller Terms of Service (“Terms”) are a binding agreement between you and airSales LLC DBA RingHouse (“RingHouse,” “we,” or “us”). They govern your participation in the RingHouse Reseller Program (the “Program”), including your membership, your training, your use of the tools RingHouse provides to do reseller work, and any commissions.

You accept these Terms by checking the box at checkout and completing your purchase. If you don't agree, don't purchase. You must be at least 18 and able to enter a binding contract. If you accept on behalf of a business, you confirm you're authorized to bind it.

Definitions

  • License: your paid annual membership in the Program — training, coaching, and the right to sell RingHouse services and earn commissions. It is not a software license.
  • License Term: one year from your purchase date, and each one-year renewal after that.
  • Client: a business that buys a RingHouse product through a sale credited to you.
  • Collected Revenue: the monthly plan fees and setup fees RingHouse actually receives from a Client, after any refunds, credits, chargebacks, and taxes.
  • Platform: the reseller dashboard, dialer, CRM, lead lists, market data, and related tools RingHouse provides to you, at no separate charge, to perform your reseller activities for RingHouse.

2. Your Program membership

What's included. During an active License Term, you get weekly group coaching on Zoom with RingHouse closers, sales training and scripts, the private reseller Discord, leads assigned to you in approved verticals, and access to RingHouse closers — RingHouse closes your first Client sale with you. To do this work, RingHouse provides you the Platform as described in Section 7.

Beta program. The first cohort is a beta group limited to 50 resellers. Program features may change as we improve them. If we materially reduce what's included during a paid License Term, we'll tell you in advance.

Price and payment. Your License fee is shown at checkout and charged when you purchase. Fees don't include any taxes that apply.

Automatic renewal. Your License renews automatically at the end of each License Term for another one-year term. Your renewal price is shown at checkout and is charged to your payment method on file on your renewal date. We'll send you a reminder before your renewal date. If your renewal price ever changes, we'll notify you at least 30 days before your renewal date.

Disclosure before purchase. Where required by law, we provide our business opportunity disclosure document at least 7 calendar days before you sign or pay.

3. Cancellation and no refunds

No refunds. All License fees are non-refundable, in whole or in part, for any reason, including unused time in a License Term.

How to cancel. You can cancel anytime before your renewal date in Settings in your reseller dashboard, or by emailing support@ringhouse.io. Cancelling stops your next renewal and any future renewal charges. It does not refund any fee already paid.

After you cancel. Your access to the Program, including the Platform, coaching, and reseller Discord, continues until the end of your current License Term, then ends.

Commissions. Commissions are paid only while your License is active. Once your License is no longer active, all commissions stop, and no further commission payments are made, including for revenue collected before your License ended.

Our Refund Policy says the same thing in short form.

4. Commissions

You earn a percentage of the Collected Revenue from each Client credited to you, for as long as that Client stays active and your License is active.

Your rate applies to all of your Clients. When you reach a new tier, your new rate applies to the Collected Revenue from every one of your active Clients, not just the ones closed after you reached it.

Credit for a sale. A Client is credited to you when it signs up and pays its first invoice, based on RingHouse's CRM records. If credit is disputed, RingHouse decides in good faith based on those records.

When you're paid. Commissions are paid through Bill.com in the first week of each month, for the prior month's Collected Revenue. You must complete Bill.com setup and give us a valid Form W-9 before your first payout.

When commissions end. Commission on a Client ends when that Client cancels. All commissions end when your License is no longer active, as described in Section 3.

Adjustments. If RingHouse refunds, credits, or loses a chargeback on revenue you were already paid commission on, we may deduct that commission from future payouts.

Taxes. You're responsible for your own taxes. RingHouse issues Form 1099 where required.

5. Our relationship

RingHouse owns the Client relationship. Every Client is a customer of RingHouse. RingHouse sets Client pricing and contracts and handles onboarding, billing, and support. You may not bill or collect payment from Clients, offer discounts or custom terms, or promise features or timelines RingHouse hasn't approved.

Independent contractor. You're an independent contractor, not an employee, partner, joint venturer, or agent of RingHouse. You choose your own hours and methods, pay your own expenses, and receive no employee benefits. You can't sign contracts or make commitments on RingHouse's behalf.

No earnings guarantee. RingHouse makes no promise about how much you'll earn, or that you'll earn anything. This is a new beta program, and no reseller results exist yet. Your results depend on your effort, the Clients you close, their pricing, and how long they stay active.

6. Conduct and compliance

You're responsible for following every law that applies to your calls, texts, and sales, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule, state telemarketing laws, and do-not-call rules. At a minimum, you must:

  • Say your name and that you're calling from RingHouse at the start of every call.
  • Call only between 8 AM and 9 PM in the recipient's local time.
  • Stop immediately when anyone asks not to be contacted, and mark them do-not-call in the CRM.
  • Text only people who have given you permission, and stop when asked.
  • Follow call-recording consent laws, including telling people when a call is recorded.
  • Never promise Clients specific results, such as bookings or revenue, and never make up statistics.
  • Use only pricing and materials RingHouse has approved.
  • Before selling a speed-to-lead product, confirm the Client's forms collect consent that covers AI calls, and flag any gap to RingHouse.
  • Never mislead anyone about who you are, who you work with, or why you're calling.

Violating this section is grounds for immediate termination under Section 8.

7. Platform, data, and confidentiality

Your account. Your Platform access is personal and non-transferable. Keep your login secure and don't share your account.

Platform use. RingHouse provides the Platform as a tool for selling RingHouse services on RingHouse's behalf, the same way a company equips its own sales team. It is not sold or licensed to you as software, and your License fee is not a fee for software. You may use the Platform only to contact the leads RingHouse assigns to you, in approved verticals, to sell RingHouse offers. Using it to call anyone else or for any other purpose is not allowed and is grounds for termination under Section 8. Your access ends when your License ends.

Lead data. Lead lists and market data are provided as-is and may contain errors. Use them only to sell RingHouse products during an active License Term. Don't copy, export, sell, or share them, or use them for any other product or business. Delete any copies when your License ends. You're responsible for checking do-not-call status and consent where the law requires it before you contact anyone.

Confidentiality. Lead lists, market data, scripts, training materials, internal pricing, and Client information are RingHouse's confidential information. Don't share them outside the Program, during or after your License.

Intellectual property. RingHouse owns the Platform, training materials, and Program content. You get a limited, revocable right to use them for the Program while your License is active.

Recordings. Coaching calls and Platform calls may be recorded for training and quality purposes.

References. Federal rules may require us to give prospective resellers the name, state, and phone number of past buyers. By purchasing, you agree we can share yours for that purpose.

8. Termination, changes, and legal terms

Termination by RingHouse. We may suspend or end your License if you breach these Terms. We may do so immediately for a violation of Section 6, misuse of lead data, or conduct that harms Clients or RingHouse. If your License ends for breach, no refund is owed and all commissions stop.

Changes to these Terms. We may update these Terms with at least 30 days' notice by email or in the dashboard. We won't reduce commission rates for a License Term you've already paid for.

Disclaimers. The Program and Platform are provided as-is. RingHouse doesn't guarantee uninterrupted service, the accuracy of lead data, or any sales or earnings results.

Limitation of liability. To the extent the law allows, RingHouse isn't liable for indirect, incidental, or consequential damages, or lost profits. RingHouse's total liability is limited to the License fees you paid in the 12 months before the claim.

Indemnity. You'll defend and cover RingHouse against claims, fines, and costs arising from your calls, texts, statements to prospects, or breach of these Terms.

Governing law. These Terms are governed by Texas law. Disputes go to the state or federal courts in Travis County, Texas. Before filing any claim, both sides agree to try to resolve it informally for 30 days.

Entire agreement. These Terms and your checkout terms are the full agreement about the Program. If any part is unenforceable, the rest still applies.
